Sky Agrees to Buy British Broadcaster ITV for Up to £1.6 Billion

Sky, the UK-based telecommunications provider owned by Comcast, has granted permission to acquire ITV’s media and entertainment division for as much as £1.6bn (€1.87bn) following extensive negotiations in a transaction designed to form a significant rival to international streaming behemoths.
The merger of Britain’s largest free-to-air commercial network, which airs “Coronation Street,” with pay-TV provider Sky seemed unimaginable only a few years back, but the emergence of YouTube and streaming giants has put conventional firms at risk.
Regulators and lawmakers will determine if the company's claim that the drastic change justifies increased flexibility in deal evaluations is valid.

Analysts have stated that the combination of ITV's public service channels and Sky's prominent pay-TV operation, established by Rupert Murdoch in 1989, would represent over 70 percent of the television advertising market in the U.K., encompassing deals for third-party broadcasters. Strong stated that the agreement would provide “exceptional British programming” in a swiftly evolving environment. ITV will continue to function as a public service broadcaster, protected by its license that extends until 2034, ensuring commitments to news and original programming. As a result, it holds a significant place on televisions and has access to exclusive content such as the World Cup.
Both firms anticipate the agreement will encounter an extensive antitrust examination and assessments of public interest. To address concerns, Sky might need to give up third-party advertising sales agreements, such as those for Channel 5, owned by Paramount.
For years, ITV has faced challenges in a difficult advertising market, resulting in its shares declining by 36 percent over the past five years. The combined entity has pledged to invest at least £2.1 billion in ITV Studios from 2028 to 2032.

ITV will obtain £1.2 billion in cash and, through an earn-out agreement, could receive as much as £200 million based on its advertising results in the 2027 financial year. It will provide approximately £950 million to investors.
ITV is acquiring Love Productions, the creator of “The Great British Bake Off,” which will become part of the rest of ITV Studios. Comcast acquired Sky in 2018. In June, the US giant announced it would separate its media assets, including NBCUniversal and Sky, from its cable operations, highlighting the increasing competition from streaming opponents.

Britain’s Culture Minister Lisa Nandy demonstrated her willingness to influence media agreements when she mentioned last week that she might intervene in the US Paramount-Warner merger.
